Reorganization of a company is a serious process that entails not only changes in the organizational and legal form of the enterprise, but also the creation of a new legal entity or the liquidation of the person being joined.

Forms of enterprise reorganization:

The conversion is a reorganization of the company in the form of transformation of individuals of the same species (e.g. ALC) into a legal entity of another species (e.g., OOO) (change of the legal form) in which the newly founded entity acquires the rights and obligations of the reorganized legal entity in accordance with transfer act, except for rights and duties that cannot belong to a created legal person (such as OOO becomes the Chupa).

A merger is a reorganization of an enterprise in which the rights and obligations of each of them pass to the newly formed legal entity in accordance with the transfer act (for example, firm A+ firm B=firm C).

Joining is a reorganization of an enterprise in the form of joining a legal entity to another legal entity, in which the rights and obligations of the joined legal entity are transferred to the latter in accordance with the transfer act (for example, firm A + firm B = firm A).

A division is a reorganization of an enterprise in the form of a division of a person, in which its rights and obligations are transferred to newly formed legal entities in accordance with the dividing balance sheet (for example, firm A = firm B and firm C).

Separation is the reorganization of an enterprise in the form of separation of one or more legal entities from the entity, in which the rights and obligations of the reorganized legal entity are transferred to each of them in accordance with the dividing balance sheet (for example, firm A = firm A and firm B).
